The General Investment and Development Company Limited, a Company duly incorporated in the Republic of Mauritius, bearing Registration Number 1731, in compliance with Listing Rule 10.5, hereby informs the Company’s shareholders and the public in general of the proposed conversion of its existing listed 3,573,064 Preference shares, currently of nominal value of Rs 1.00 each but to be converted into no par value shares and which will be admitted for listing on the Official List of the Stock Exchange of Mauritius (SEM) by way of conversion to Ordinary shares. The trading of the existing 25,599,436 and newly converted 3,573,064 Ordinary shares will commence on 30 November 2007, subject to the conversion and subsequent listing being approved by the shareholders at the Special Meeting scheduled for 7 November 2007.
The present Notice is not an invitation to the public to acquire, purchase or subscribe for shares in The General Investment and Development Company Limited but is issued in compliance with the Stock Exchange of Mauritius Rules governing the Official Listing of Securities for the purpose of giving information to the shareholders of The General Investment and Development Company Limited and to the public in general with regard to the above-mentioned proposed conversion of its Preference shares and their subsequent listing as Ordinary shares.
An application has been made to the SEM on 21 September 2007 for the conversion and listing of the new 3,573,064 Ordinary shares for which permission has been granted by the Listing Committee on 28 September 2007.
The Listing Particulars in respect of the conversion and subsequent listing is being sent to all the shareholders of the Company by registered mail. The said Listing Particulars are also available for inspection during normal working hours at the registered office of the Company at 7th Floor, Swan Group Centre, Intendance Street, Port Louis.
